1. Acceptance of Terms

By accessing or using TeamContext ("the Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms.

2. Description of Service

TeamContext is an AI-powered team visibility platform that captures, summarizes, and shares context from AI-assisted coding sessions. The Service includes the web application, API, integrations (MCP server, VS Code extension, CLI, git hooks, JetBrains plugin), and associated documentation.

3. Accounts

You must create an account to use TeamContext. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service or its infrastructure
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated means to access the Service beyond our provided APIs
• Resell or redistribute the Service without written permission

5. Your Data

You retain ownership of all data you submit to TeamContext. By using the Service, you grant us a limited license to process your data solely for the purpose of providing the Service. This includes:

• Storing and processing session metadata
• Generating AI-powered summaries and insights
• Sharing data within your team as configured

We do not use your data to train AI models or share it with third parties for their benefit.

6. Subscription and Billing

TeamContext offers Free, Pro, and Enterprise plans. For paid plans:

• Billing is handled through Stripe and occurs monthly or annually
• Prices are per user per month and may change with 30 days notice
• You may cancel at any time; access continues until the end of the billing period
• Refunds are provided on a case-by-case basis

7. Service Availability

We strive for high availability but do not guarantee uninterrupted service. We may perform scheduled maintenance with advance notice. We are not liable for any downtime or data loss resulting from circumstances beyond our reasonable control.

8. Intellectual Property

The Service, including its design, features, and documentation, is owned by TeamContext and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written consent.

9. Limitation of Liability

To the maximum extent permitted by law, TeamContext shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold TeamContext harmless from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. Upon termination, your right to use the Service ceases immediately. You may export your data before termination. We will retain your data for 30 days after termination, after which it will be permanently deleted.

12. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of the jurisdiction in which TeamContext is incorporated, without regard to conflict of law principles. Any disputes shall be resolved in the courts of that jurisdiction.
